Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Scribbiter, Inc ("Scribbiter," "we," "us," or "our"), a company incorporated in the State of Delaware, USA. By accessing or using Scribbiter's website and services (including ScribShield), or by checking a box or clicking a button indicating your agreement where presented, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference into these Terms. If you do not agree to these terms, please do not use our services.

Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) to use our services. By using Scribbiter, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you represent that you have your parent or guardian's permission to use our services.

Scribbiter provides tools and services designed to help creative professionals protect their digital content from unauthorized use, including AI training and data scraping. Our current and planned services include:

Your Content and Intellectual Property

You retain all rights, ownership, and intellectual property in any content you upload to or process through our services. Scribbiter does not claim any ownership of your images, artwork, photographs, or other creative content.

Limited processing license. By uploading or submitting content to our services, you grant Scribbiter a limited, non-exclusive, royalty-free, worldwide license to access, copy, and process that content solely to the extent necessary to provide the requested service to you (e.g., to strip metadata or apply protective watermarking). Suspension and Termination

We may suspend or terminate your access to our services, with or without notice, if we reasonably believe you have violated these Terms, engaged in unlawful conduct, or posed a security risk to Scribbiter or other users. Where practicable, we will provide notice and an opportunity to remedy the issue before termination.

You may stop using our services at any time. Upon termination of your use (by you or by us), any license you granted us to process your content ends, and we will delete any retained data associated with your account in accordance with our Privacy Policy and applicable retention requirements.

Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.

Limitations of Protection

While we strive to provide effective content protection, we want to be transparent about limitations:

Service Availability

We aim to provide reliable access to our services but do not guarantee uninterrupted availability. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Some features may be marked as "Coming Soon" and are not yet available for use.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will meet your specific requirements, operate without interruption, or be free of errors. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, Scribbiter shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services, including but not limited to damages for loss of profits, data, or other intangible losses.

To the fullest extent permitted by law, Scribbiter's total cumulative liability arising out of or relating to these Terms or your use of our services shall not exceed the greater of (a) the total amount you paid to Scribbiter in the twelve (12) months preceding the claim, or (b) USD $100. Because our services are currently provided free of charge, this cap will be revisited and disclosed clearly at the point any paid offering launches.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death, personal injury caused by negligence, fraud, or willful misconduct.

Indemnification

You agree to indemnify, defend, and hold harmless Scribbiter and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) content you upload or process through our services; (b) your violation of these Terms; or (c) your violation of any third party's rights, including intellectual property rights. This obligation does not apply to the extent a claim arises from Scribbiter's own breach of these Terms, negligence, or willful misconduct.

We may update these Terms of Service as our products evolve. Material changes will be communicated via our newsletter and noted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions, except where mandatory consumer protection laws of your country of residence require otherwise.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
